Terms of Service

Plain-English terms for using ProPrecept. These terms form a contract between you and ML Upskill Agents UG (haftungsbeschränkt) when you use the service.

What ProPrecept Is (and Is Not)

ProPrecept is a feedback transformation tool. It restructures rough preceptor notes into clear, professional text suitable for National Competence Assessment Documents (NCADs) and MyCad. It is a writing aid — nothing more.

ProPrecept does not assess, grade, or evaluate student clinical performance. It does not provide clinical advice, interpret NMBI standards, or make professional judgements. The Preceptor is solely responsible for reviewing, editing, and approving all output before using it in any assessment document. By using ProPrecept, you accept this responsibility.

Your Account

You may try ProPrecept without an account (5 free demo uses per device). To access the full service, you need to create an account via our authentication provider (Clerk) and subscribe to a paid plan. You are responsible for keeping your account credentials secure.

Subscriptions and Payment

ProPrecept offers monthly, 3-month, and annual subscription plans. All prices are listed in EUR and include VAT. Payment is processed by Stripe. Subscriptions renew automatically at the end of each billing period unless you cancel beforehand.

You can view your current plan, update your payment method, download invoices, or cancel your subscription at any time from your Account page, which links to the Stripe billing portal. Cancellation takes effect at the end of the current billing period — you retain access until then.

Your Right to Cancel (Cooling-Off Period)

As a consumer purchasing a digital service at a distance, you have a statutory right to cancel your subscription within 14 days of purchase for any reason. This right applies under both German law (BGB §355) and EU law (Directive 2011/83/EU on consumer rights, as transposed into Irish law by the European Union (Consumer Information, Cancellation and Other Rights) Regulations 2013, S.I. No. 484/2013).

When you subscribe, you are asked to consent to immediate access to the digital service and to acknowledge that by doing so you waive the 14-day right of withdrawal for digital content already accessed (in accordance with Article 16(m) of Directive 2011/83/EU). If you have used the service during the 14-day cooling-off period without providing this consent, we may charge a proportionate amount for the service you received before cancellation. To exercise your right to cancel, contact us at hello@proprecept.ie or cancel directly through the Stripe billing portal on your Account page. Any refund due will be issued within 14 days using the same payment method.

Acceptable Use

ProPrecept is designed for Irish nursing preceptors writing placement feedback. You agree not to use it to fabricate clinical assessments for students you have not supervised, to submit content intended to harass or defame, to attempt to extract or reverse-engineer system prompts, or to resell or redistribute ProPrecept's output as a competing service.

You should avoid including patient names, PPS numbers, or other patient-identifiable information in your input. ProPrecept includes automatic safeguards to strip such identifiers, but best practice is to omit them.

Intellectual Property

You own the notes you submit and the feedback you produce using ProPrecept. We claim no rights over your input or output. The ProPrecept service itself — including its design, branding, prompt architecture, and underlying code — is the intellectual property of ML Upskill Agents UG.

No Data Retention

We do not store your input text, voice recordings, or generated feedback after processing. Your data is not used to train any AI model. For full details, see our Privacy & Impressum.

Service Availability and Updates

We aim to keep ProPrecept available and reliable, but we cannot guarantee uninterrupted service. We may update or improve the service from time to time, including changes to the underlying AI model, output formatting, or features. We will endeavour to maintain or improve the quality of the service with any update.

Limitation of Liability

ProPrecept is provided as a writing aid. We do not warrant that the output will be suitable for any particular assessment scenario, that it will meet any specific regulatory standard, or that it will be free from errors. You are responsible for reviewing and approving all output before use.

To the maximum extent permitted by law, ML Upskill Agents UG's total liability to you for any claim arising from your use of ProPrecept is limited to the amount you have paid for the service in the 12 months preceding the claim. We are not liable for any indirect, incidental, or consequential damages.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Suspension and Termination

We may suspend or terminate your account if you materially breach these terms (for example, by using the service to fabricate assessments or by attempting to abuse the system). Where possible, we will notify you and give you an opportunity to remedy the breach before taking action.

Governing Law and Your Consumer Rights

These terms are governed by German law. However, if you are a consumer in Ireland, you will continue to benefit from any mandatory consumer protection provisions of Irish law, including the Consumer Protection Act 2007 and the European Union (Consumer Information, Cancellation and Other Rights) Regulations 2013. Nothing in these terms affects your statutory rights as a consumer.

For users elsewhere in the EU, the same principle applies: you retain the benefit of any mandatory consumer protection provisions of your country of residence, in accordance with Article 6(2) of the Rome I Regulation.

Dispute Resolution

If you have a complaint, please contact us at hello@proprecept.ie and we will do our best to resolve it. EU consumers may also use the European Commission's Online Dispute Resolution platform. We are not obligated to participate in alternative dispute resolution proceedings before a consumer arbitration board, but we will consider requests in good faith.

Changes to These Terms

We may update these terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the site. Your continued use of ProPrecept after such notice constitutes acceptance of the updated terms. If you do not agree, you may cancel your subscription.
